Welcome to Matasha. These Terms and Conditions (“Terms”) govern your access to and use of the Matasha website, mobile application and related services (“Matasha”, the “Platform”, “we”, “us” or “our”). By creating an account, posting an enquiry, responding to an enquiry, purchasing a subscription or otherwise using Matasha, you agree to these Terms. Please read them carefully before using the Platform.
Matasha is an online carpet and flooring marketplace designed to connect customers looking for flooring products and/or installation services with local carpet and flooring businesses, suppliers and independent fitters. Matasha provides the technology and marketplace through which Customers and Suppliers can connect. Matasha does not itself provide flooring installation services or supply flooring products unless expressly stated otherwise. Matasha is not a party to agreements entered into directly between Customers and Suppliers through the Platform. Any agreement for the purchase, supply, delivery or installation of flooring is made directly between the Customer and the relevant Supplier.
Customer means a person or organisation using Matasha to search for, request or obtain carpet, flooring, related products or fitting services. Supplier means any flooring retailer, carpet or flooring supplier, fitter, installer, sole trader, company or other flooring professional approved to use Supplier features on Matasha. Enquiry means a request posted by a Customer describing the flooring products and/or services they are interested in obtaining. Trusted Supplier means a Supplier who has successfully completed Matasha’s verification and manual approval process as described in these Terms. Platform means the Matasha mobile application, website and related services.
Customers may create an account and submit flooring Enquiries through Matasha. Customers must provide accurate and current information, keep account details secure, submit only genuine Enquiries, provide sufficient information for Suppliers to understand their requirements, and use the Platform lawfully and respectfully. Customers are currently limited to a maximum of three Enquiries per month, unless otherwise stated by Matasha. Matasha may amend reasonable usage limits as the Platform develops.
Customers can use Matasha to describe the flooring products and/or services they require. Customers are responsible for ensuring information contained within an Enquiry is accurate before submitting it. Once submitted, an Enquiry may not be editable through the Platform. If information changes materially after submission, the Customer should make this clear when communicating with prospective Suppliers. Posting an Enquiry does not guarantee that any Supplier will respond.
Matasha may limit the number of Suppliers permitted to respond to an individual Enquiry. The current intended maximum is five Supplier responses per Enquiry. This is intended to provide Customers with choice while preventing an excessive number of responses to a single Enquiry. Matasha may change this limit where reasonably necessary as the Platform develops.
Any quotation, estimate, price, recommendation, product information or availability communicated by a Supplier is provided by that Supplier and not by Matasha.
Suppliers must create a Supplier account and provide accurate information about themselves and/or their business. Creating a Supplier account does not automatically grant approval to operate on Matasha. Supplier applications are manually reviewed by Matasha before approval. Matasha may request additional information where reasonably necessary to verify an applicant and may decline an application where the applicant cannot be satisfactorily verified or does not meet Platform requirements.
Where Matasha refers to a business or professional as a Trusted Supplier, this means that the Supplier has successfully completed Matasha’s verification and manual approval process. Suppliers are not automatically designated as Trusted Suppliers simply because they create an account. Before approval, Matasha may carry out checks including identity and contact information; business or trading name and details; Companies House records where applicable; business address or trading information where appropriate; online and/or social media business presence; publicly available information relating to the business; evidence that the applicant genuinely operates within the carpet and flooring industry; and other information reasonably considered necessary to establish identity or trading status. The precise checks may vary depending on whether the Supplier is a limited company, sole trader, retailer, independent fitter or another type of flooring professional. Suppliers must not knowingly provide false or misleading information.
Matasha’s verification process is intended to help establish that a Supplier is a genuine flooring business or professional who meets Matasha’s requirements for access to the Platform. Trusted Supplier status does not constitute a guarantee, warranty or endorsement by Matasha of workmanship, product quality, pricing, availability, professional competence, financial status, suitability for a particular project or future conduct. Matasha requires Suppliers and Fitters to hold valid public liability insurance in accordance with section 9 below. Unless expressly stated otherwise on the Platform, Matasha does not routinely verify or guarantee the scope, level, validity or suitability of a Supplier’s insurance cover, nor does it verify or guarantee particular qualifications, trade memberships, certifications or accreditations. Customers should make any additional checks they consider appropriate before appointing a Supplier or fitter, including confirming relevant insurance, qualifications, warranties, guarantees, references or credentials where important to their project.
All Suppliers and Fitters registering with and using Matasha are required to hold and maintain valid public liability insurance appropriate to the products and/or services they provide.
By registering for and continuing to use Matasha, each Supplier or Fitter confirms that they comply with this requirement and accepts responsibility for maintaining appropriate cover.
Matasha does not provide insurance on behalf of Suppliers or Fitters and is not responsible for a Supplier’s or Fitter’s failure to obtain, maintain or renew appropriate insurance cover.
Matasha reserves the right to request evidence of valid public liability insurance at any time. Where a Supplier or Fitter is unable or unwilling to demonstrate compliance with this requirement, Matasha may refuse approval, restrict or suspend access, or remove the account from the Platform.
Approval to operate on Matasha is not necessarily permanent. Suppliers must continue to provide accurate business information, communicate professionally, comply with applicable laws, treat Customers fairly, avoid false or misleading claims, respect Customer privacy, comply with agreements they enter into with Customers, and comply with these Terms. Matasha may consider Supplier activity, Customer star ratings, complaints, reports and other relevant information when assessing continued suitability. Where concerns arise, Matasha may request further or updated information, issue a warning, restrict access, suspend an account or permanently remove a Supplier.
Approved Suppliers may view available Enquiries without charge where this functionality is offered by Matasha. An active paid Supplier subscription is required to respond to Enquiries or access paid Supplier functionality, except where access is provided as part of a free trial or promotional offer. The applicable subscription price and included features will be displayed before purchase.
Matasha may offer eligible Suppliers promotional free trials. At launch, eligible Suppliers may be offered an initial one-month free trial. The purpose of the trial is to allow Suppliers to experience the Platform and assess whether it provides value before deciding whether to continue with a paid subscription. The applicable trial terms will be communicated when offered. Matasha may amend, replace or withdraw future promotional offers without retrospectively altering an already accepted trial.
Matasha may offer selected early Suppliers a promotional Founding Supplier Rate. Where Matasha expressly offers that rate for the lifetime of a continuous subscription, it will remain available while the Supplier maintains an eligible continuous subscription, subject to the conditions communicated with the offer. If the Supplier cancels, allows the subscription to lapse or otherwise ceases to qualify, Matasha is not required to restore the historic rate if the Supplier later rejoins.
Supplier subscription payments may be processed by third-party payment providers including Stripe. Suppliers must provide accurate billing information and authorise applicable charges associated with their selected subscription. Matasha does not directly store full payment card information where payments are processed through an authorised payment provider.
Where a Supplier selects a recurring subscription, it may automatically renew at the applicable billing interval unless cancelled. Renewal terms and the applicable price will be made available before subscription.
Suppliers may cancel their subscription using the cancellation options provided through Matasha or the relevant subscription/payment system. Unless otherwise stated, cancellation prevents future renewal and paid access will normally continue until the end of the period already paid for. Cancellation does not automatically entitle a Supplier to a refund for a period already purchased. Nothing in these Terms affects statutory rights that cannot lawfully be excluded.
Supplier subscription fees are generally non-refundable once the applicable subscription period has begun, except where required by law, where Matasha expressly agrees otherwise, or where a specific promotional offer provides different terms. Matasha will not normally issue refunds simply because a Supplier receives fewer Enquiries than expected, no suitable Enquiries are available, a Supplier does not win work, Customers choose another Supplier, or the Supplier does not use their account.
Matasha may change subscription prices in the future. Where a price change affects an existing recurring subscription, Matasha will provide appropriate notice before the new price applies where required. Any express Founding Supplier pricing commitment will be treated in accordance with the terms of that offer.
Matasha helps Customers and Suppliers discover and communicate with each other. Unless expressly stated otherwise, Matasha is not a party to the contract between a Customer and Supplier. Customers and Suppliers are responsible for agreeing directly the price, measurements, products/materials, deposits, payment arrangements, installation, delivery, timescales, warranties/guarantees, cancellation arrangements and other terms relating to the job.
Suppliers are responsible for the accuracy of quotes, estimates and pricing they provide. Customers should clarify whether a price is an estimate or fixed quotation, subject to measurement, inclusive or exclusive of fitting, materials/accessories and applicable taxes where relevant. Matasha does not set or control the prices charged by independent Suppliers.
Matasha may allow Customers to provide a star rating following an eligible interaction or completed job through the Platform. Ratings must reflect the Customer’s genuine experience with the relevant Supplier. Users must not create, manipulate, purchase or arrange false ratings, and Suppliers must not improperly pressure Customers regarding the rating they provide. Matasha may investigate suspicious rating activity and may remove ratings or take action against accounts where there are reasonable grounds to believe ratings have been manipulated, are not genuine or otherwise breach these Terms. A Supplier’s overall star rating represents feedback submitted by Customers and does not constitute a guarantee or endorsement by Matasha.
Users may report concerns about another user through the Platform or by contacting Matasha. Reports may include inappropriate behaviour, misleading information, suspected fraud, fake business information, abusive communication, rating manipulation, serious concerns regarding Supplier conduct or breaches of these Terms. Matasha may review reports and take appropriate Platform-level action.
The underlying contract for flooring products or services is between the Customer and Supplier. Customers and Suppliers should initially attempt to resolve disputes concerning workmanship, payment, products, deposits or contractual obligations directly with each other. Matasha does not act as a court, arbitrator or guarantor and is not required to determine legal responsibility in a private contractual dispute. Customers may nevertheless report concerns to Matasha. Where a complaint raises concerns regarding a Supplier’s continued suitability for the Platform, Matasha may review the matter and take appropriate action regarding the Supplier’s Matasha account.
Users must not provide false or misleading information; create fake Enquiries; impersonate another person or business; harass, threaten or abuse another user; discriminate unlawfully; send spam or inappropriate unsolicited communications; manipulate ratings; misuse another user’s personal information; scrape Platform data without permission; interfere with Platform security; bypass subscription/payment systems; use Matasha fraudulently or unlawfully; upload malicious software; or otherwise misuse the Platform.
Where Matasha enables Suppliers to access Customer information, that information may only be used for legitimate purposes connected with the relevant Customer Enquiry. Suppliers must not add Customers to unrelated marketing databases without appropriate permission, sell Customer information, share it unnecessarily with third parties or use it for unrelated purposes. Suppliers remain responsible for complying with applicable data protection and privacy laws when handling Customer information.
Matasha may restrict, suspend or remove an account where we reasonably believe these Terms have been breached, false information has been supplied, fraudulent activity is suspected, another user’s safety or interests may be at risk, a Supplier no longer meets verification requirements, serious/repeated complaints have been received, payment obligations have not been met, or continued access could reasonably damage the Platform or its users. Where appropriate, Matasha may request information from the user before making a final decision.
The Matasha name, branding, logos, software, Platform design and original Platform content belong to Matasha or its licensors and are protected by applicable intellectual property laws. Users must not copy, reproduce, distribute or commercially exploit Matasha intellectual property without permission, except where permitted by law.
Users may upload information, photographs, descriptions, logos or other content to Matasha. Users retain ownership of content they own. By uploading content, users grant Matasha a non-exclusive licence to store, reproduce, display and use that content to the extent reasonably necessary to operate the Platform, display Enquiries and Supplier profiles, provide functionality, promote relevant Platform activity where appropriate and lawful, and administer accounts. Users must have the right to upload any content they provide.
We aim to keep Matasha available and functioning reliably but do not guarantee uninterrupted or error-free availability. The Platform may occasionally be unavailable due to maintenance, technical problems, security requirements, third-party service failures or circumstances outside our reasonable control.
Matasha is an evolving marketplace and may introduce, modify or remove features where reasonably necessary to improve, maintain or develop the Platform. This may include changes to Enquiry limits, Supplier response limits, subscription features, geographical availability, categories, communication tools and Platform functionality. Where a change materially affects a paid service, we will take reasonable steps to communicate it appropriately.
Matasha does not guarantee that Customers will receive responses; any minimum number of Enquiries or Supplier leads; that an Enquiry will convert into work; that a Supplier will win a particular job; any level of revenue or business growth; continuous availability of suitable local Enquiries; or that a Customer or Supplier will proceed with a transaction. Marketplace activity will naturally vary by location, demand, category and time.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
Subject to applicable law, Matasha is not responsible for losses arising solely from the acts or omissions of independent Customers or Suppliers; workmanship carried out by Suppliers; products independently supplied by Suppliers; agreements entered into directly between users; inaccurate information supplied by another user; or a user’s decision to appoint or not appoint a particular Supplier. Matasha’s role is to provide and operate the marketplace through which users can discover and communicate with one another. Nothing in these Terms affects statutory consumer rights that cannot legally be excluded or restricted.
Matasha processes personal information in accordance with its Privacy Policy. Users should read the Privacy Policy to understand what information Matasha collects, why it is collected, how it is used and the rights available to users.
Matasha may update these Terms as the Platform develops or where changes are necessary for legal, regulatory, security or operational reasons. Where changes are material, we will take reasonable steps to notify affected users. The latest version will be made available through Matasha.
These Terms are governed by the laws of England and Wales. If you are a consumer, nothing in these Terms removes any mandatory legal protections or rights available to you under applicable law.
